Terms of Use

These Terms of Use ("Terms") are a binding legal agreement between you and KMV Legacy, LLC governing your access to and use of the BetBuddy mobile application, website, and related services. Please read them carefully.

1. Who we are

BetBuddy is owned and operated by KMV Legacy, LLC, a limited liability company ("KMV Legacy," "we," "us," or "our"). References to "BetBuddy," the "App," or the "Service" mean the BetBuddy mobile application, this website, and any related software, content, and services we provide. 2. Acceptance and changes to these Terms

By using BetBuddy you represent that you have read, understood, and agree to these Terms. We may modify these Terms at any time. When we do, we will update the "Last updated" date above and, where appropriate, notify you in the App. Changes are effective when posted. Your continued use of BetBuddy after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the App and uninstall it.

3. Eligibility

BetBuddy is intended solely for adults of legal age in their jurisdiction. You represent and warrant that you are at least 18 years old (or 21 where required by local law), that you have the legal capacity to enter into these Terms, and that your use of the App does not violate any law or regulation applicable to you. You are solely responsible for determining whether handicapping tools and wagering on horse races are legal in your location. BetBuddy is not directed to, and may not be used by, anyone under these age requirements.

4. Entertainment purposes only — no wagering, no advice

BetBuddy is an informational and entertainment service. It is not a sportsbook, casino, racebook, pari-mutuel operator, or gambling operator of any kind. We do not place bets, accept wagers, hold or transmit funds, process payouts, or facilitate any transaction with a wagering operator.

The analysis, picks, ratings, probabilities, confidence levels, and recommendations the App produces are provided for entertainment only and do not constitute financial, investment, betting, legal, tax, or professional advice of any kind. Any wager you choose to place is your own independent decision, made at your own discretion and risk, with a licensed operator of your choosing. We are not a party to and bear no responsibility for any wager you make.

5. AI-generated content; no guarantee of accuracy

BetBuddy's analysis is generated by artificial intelligence from photographs or documents of racing forms that you submit. AI systems can and do make mistakes — they may misread information, omit context, miscalculate, or produce output that is confidently wrong. We do not warrant that any analysis is accurate, complete, reliable, or suitable for any purpose. Horse racing outcomes are inherently uncertain and cannot be predicted. You are solely responsible for independently verifying all horses, scratches, odds, race conditions, and other information against the official program before making any decision, and you may lose some or all of any money you wager.

6. License to use BetBuddy

Subject to your compliance with these Terms, KMV Legacy grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to download and use one copy of the App on a device you own or control, solely for your own personal, non-commercial entertainment. This license is not a sale. We reserve all rights not expressly granted.

7. Acceptable use

You agree that you will not, and will not permit anyone else to:

• use the App for any unlawful, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation;
• copy, modify, distribute, sell, lease, sublicense, or create derivative works from any part of the App or its content;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the extent this restriction is prohibited by law;
• access the App through automated means (bots, scrapers, crawlers) or attempt to circumvent any rate limit, security, or authentication mechanism;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the App, our servers, or any third-party systems used to deliver the App;
• remove, obscure, or alter any proprietary notice, disclaimer, or branding;
• resell, redistribute, or commercially exploit the App or any analysis it produces; or
• use the App in any way that could damage, disable, or impair the Service or harm KMV Legacy or any other person.

We may investigate and take any action we deem appropriate, including suspending or terminating your access, for any actual or suspected violation of these Terms.

8. Your content

"User Content" means the photographs and information you submit to the App. You retain ownership of your User Content. You grant KMV Legacy a worldwide, royalty-free, non-exclusive license to use, host, process, transmit, and display your User Content solely to operate and improve the Service and to provide the analysis you request, including transmitting it to the third-party providers described in our Privacy Policy. You represent and warrant that you have all rights necessary to submit your User Content and that doing so does not violate any law or third-party right. You are solely responsible for your User Content.

9. Intellectual property

The App and all of its content, features, and functionality — including software, text, graphics, logos, the BetBuddy name and marks, designs, and the structure and organization of the analysis output — are owned by KMV Legacy or its licensors and are protected by copyright, trademark, and other intellectual-property laws. "BetBuddy," the BetBuddy logo, and related marks are trademarks of KMV Legacy, LLC. Nothing in these Terms transfers any ownership to you, and you may not use our marks without our prior written permission.

10. Subscriptions, payments, and renewals

Certain features of BetBuddy may require a paid subscription. Subscriptions are sold and billed through the Apple App Store or Google Play and are managed on our behalf by RevenueCat, as described in our Privacy Policy. We never receive or store your payment-card or bank details.

• Auto-renewal. Subscriptions automatically renew at the then-current price for the applicable period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• Managing and cancelling. You can manage or cancel a subscription at any time through your Apple App Store or Google Play account settings. Uninstalling the App does not by itself cancel a subscription.
• Refunds. All purchases are final and non-refundable except where required by law or by the applicable app-store policy. Refund requests are handled by the app store through which you purchased, not by KMV Legacy.
• Price changes. We may change subscription prices and features prospectively. Changes will not affect the period you have already paid for and take effect on your next renewal.

11. Third-party services

BetBuddy relies on third-party services — including OpenAI, the Apple App Store and Google Play, RevenueCat, and our hosting provider — to function. Your use of those services may be subject to their own terms and policies. We do not control and are not responsible for the acts, omissions, content, availability, or practices of any third party. The App may also reference or link to third-party content over which we have no control and for which we accept no responsibility.

12. Assumption of risk

You acknowledge that gambling and wagering involve substantial risk of financial loss and that any decision to wager is yours alone. You assume all risk arising from your use of the App and any reliance on its analysis. 13. Disclaimer of warranties

To the fullest extent permitted by law, BetBuddy is provided "as is" and "as available," with all faults and without warranty of any kind. KMV Legacy and its members, managers, officers, employees, contractors, affiliates, and licensors (together, the "BetBuddy Parties") expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the App will be uninterrupted, secure, error-free, or that any analysis, prediction, or result will be accurate or reliable. No advice or information, whether oral or written, obtained from the App creates any warranty not expressly stated here. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, in no event will the BetBuddy Parties be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, or for any gambling or wagering losses, arising out of or relating to your use of (or inability to use) the App or your reliance on any analysis, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not the BetBuddy Parties have been advised of the possibility of such damages.

To the fullest extent permitted by law, the BetBuddy Parties' total aggregate liability for all claims arising out of or relating to the App or these Terms will not exceed the greater of (a) the total amount you actually paid to KMV Legacy for the App in the twelve (12) months before the event giving rise to the claim, or (b) fifty U.S. dollars (US$50.00). These limitations are an essential basis of the bargain between you and KMV Legacy and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully — it affects your legal rights.

Informal resolution first. Before starting any arbitration, you agree to first contact us at hello@getbetbuddy.com and give us 60 days to resolve the dispute informally.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to the App or these Terms that is not resolved informally will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will be governed by the Federal Arbitration Act. The seat of arbitration will be in the Commonwealth of Kentucky, and the arbitration may proceed by written submissions, telephone, or video where the rules allow.

Class-action and jury-trial waiver. You and KMV Legacy agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. You and KMV Legacy waive any right to a jury trial.

Opt-out. You may opt out of this arbitration agreement by emailing hello@getbetbuddy.com within 30 days of first accepting these Terms, stating your intent to opt out. If any portion of this Section is found unenforceable, the remainder will remain in effect, except that if the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court.

16. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the BetBuddy Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the App; (b) your User Content; (c) any wager or financial decision you make; (d) your violation of these Terms or of any law or third-party right; or (e) your violation of any applicable gambling, wagering, or age-restriction law.

17. Termination

We may suspend or terminate your access to the App at any time, with or without notice, including if we believe you have violated these Terms. You may stop using the App at any time by uninstalling it. Upon termination, the license granted to you ends immediately. Sections that by their nature should survive termination — including Sections 4, 5, 8, 9, and 12 through 19 — will survive.

18. Governing law and venue

These Terms and any dispute arising out of or relating to them or the App are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. Subject to the arbitration agreement in Section 15, you agree that any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction of those courts.

19. General

• Entire agreement. These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and KMV Legacy regarding the App and supersede any prior agreements.
• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
• Apple and Google. If you obtained the App through the Apple App Store or Google Play, you agree that the applicable platform is a third-party beneficiary of these Terms and may enforce them, and that the platform has no obligation to provide support or maintenance for the App.
